1. Parties and Acceptance

1.2 Acceptance
By accessing our website, creating an account, subscribing, purchasing, downloading, installing, or using any Forex Royals software product, you confirm that you have read, understood, and agree to these Terms and Conditions.
1.3 If You Do Not Agree
If you do not agree, do not use the website or purchase or subscribe to any software product.
2. Risk Warning and Disclaimer
2.1 Trading Risk
Trading financial products carries a high level of risk and may not be suitable for all users. You can lose money. Leverage can work against you as well as for you.
2.2 Automated Trading Risk
Automated trading software can increase risk due to continuous operation, speed of execution, changing market conditions, connectivity issues, and broker execution conditions.
2.3 No Guarantees
We do not guarantee profits, income, or outcomes. Past performance, historical data, and backtests are not guarantees of future results. Live results can differ due to spreads, slippage, liquidity, execution, and market conditions.
2.4 Not Financial Advice
Forex Royals provides software access, licensing access, and general resources only. Nothing on our website or in our communications constitutes personal financial advice, a recommendation, or an offer to buy or sell any financial instrument.
3. Definitions
- Client: The person or entity purchasing or subscribing to a Forex Royals software product or license.
- Company: FXR Software Proprietary Limited trading as Forex Royals.
- Software Product: Any downloadable executable software product relating to automated trading robots offered by the Company, including related files installed on a designated machine or environment.
- Robots: May include FXR Bot, COWS, DEX, and any other robot offered from time to time.
- License: The right to use the Software Product under the terms applicable to either a subscription rental or a lifetime license.
- Subscription: A monthly rental arrangement for software and license access that renews monthly unless cancelled.
- Lifetime License: A one-time purchase that grants ongoing access under the lifetime license terms.
- Updates: Modifications or improvements released by the Company. Updates do not necessarily include new products.
- Specified Machine: The device, workstation, VPS, or environment designated by you for installation and use.
4. Eligibility and User Responsibilities
4.1 Age and Capacity
You must be at least 18 years old and legally able to enter contracts.
4.2 Your Responsibility
You are responsible for your trading decisions, settings, risk management, and compliance with laws applicable to you.
4.3 Accurate Information
You must provide accurate information during checkout, account creation, and support requests.
5. Products and Access
5.1 What We Sell
We provide software products and licensing access. We may also provide onboarding resources, educational content, and support.
5.2 Product Descriptions
We aim to describe products accurately, but we do not guarantee that descriptions will be complete or error free at all times.
5.3 Platform and Broker Compatibility
Our robots are designed to work with MetaTrader 5 and the Deriv broker unless explicitly stated otherwise on a product page.
6. Subscription Rental Terms
6.1 Subscription Access Period
When you subscribe, you receive software access plus a license for a full month at a time for the plan selected.
6.2 Billing and Renewal
Subscriptions are billed monthly and renew automatically unless cancelled before renewal.
6.3 Cancellation
You may cancel at any time. Cancellation stops the next renewal. You keep access until the end of your current paid month.
6.4 Failed Payment
If a renewal payment fails, access may be paused until payment is resolved.
6.5 Plan Changes
You may be able to upgrade or downgrade plans based on the rules shown at checkout or in your account. If a rule is not shown, the Company may apply plan changes on the next billing cycle.
7. Lifetime License Terms
7.1 Scope
A lifetime license is a one-time purchase that grants ongoing access under the lifetime license terms shown at checkout.
7.2 What Lifetime Means
Lifetime means ongoing access subject to these Terms and any license terms presented at checkout. It may include limits such as device limits, fair use, non-transferability, and update rules.
7.3 Updates and New Products
Updates may be provided at our discretion. Updates do not necessarily include new products.
8. License Restrictions and Prohibited Use
- Permitted Use: You may use the Software Product only for your own trading activities and only as permitted by the license type you purchased.
- No Resale or Sublicensing: You may not resell, sublicense, rent, lease, distribute, or provide access to third parties unless you have written permission from the Company.
- No Copying or Reverse Engineering: You may not copy, reproduce, modify, decompile, reverse engineer, bypass license checks, or create derivative works, except where permitted by law.
- Backup: You may make a backup copy only for personal recovery purposes.
- Security and Abuse: You may not attempt to interfere with the website, payment systems, license servers, or other users.
9. Setup and System Requirements
9.1 Requirements
You need a stable internet connection and MetaTrader 5 installed. You may use a VPS to keep the platform running more consistently.
9.2 Your Responsibility
You are responsible for ensuring compatibility with your device, VPS, broker setup, and operating environment.
10. Support
10.1 Support Scope
Support includes technical setup assistance and product usage guidance. Support does not include personal financial advice or trade recommendations.
10.2 Support Availability
Support hours and channels are shown on the website or at checkout. If you require guaranteed response times, this must be stated in writing.
11. Payments, Refunds, and Chargebacks
11.1 Prices
Prices are displayed in South African Rand unless otherwise stated.
11.2 No Refunds
All sales are final. We do not offer refunds for subscription fees or lifetime license purchases.
11.3 Exceptions Required by Law or Verified Billing Error
Nothing in these Terms limits any non-excludable rights you may have under applicable law. Verified billing errors, duplicate charges, or failure to provide access due to our fault may be corrected.
11.4 Chargebacks
If you have a billing issue, contact support first. Unjustified chargebacks may result in suspension of access, termination, and submission of evidence to the payment processor.
12. Intellectual Property
12.1 Ownership
All rights, title, and interest in the Software Products, website content, branding, and materials belong to the Company or its licensors.
12.2 No Transfer of Ownership
You are granted a license to use the Software Product. You do not acquire ownership of the software.
13. Disclaimers of Warranties
- As Is: The website and Software Products are provided on an as-is and as-available basis.
- No Warranty: We do not warrant that the Software Product will be uninterrupted, error-free, compatible with your equipment, or available at all times.
- Connectivity and Execution: We are not responsible for delays or failures caused by internet issues, VPS issues, broker execution conditions, platform malfunctions, or third-party service disruptions.
14. Limitation of Liability
- No Liability for Trading Losses: You agree that you use the Software Products at your own risk. We are not liable for trading losses, missed opportunities, or account outcomes.
- Indirect Loss: We are not liable for indirect or consequential losses, including loss of profits, goodwill, or data, to the maximum extent permitted by law.
- Liability Cap: Our total liability for any claim relating to the Software Products is limited to the amount you paid to us in the 30 days before the event giving rise to the claim.
15. Indemnity
You agree to indemnify and hold the Company harmless from claims, losses, and expenses arising from your misuse of the Software Products, breach of these Terms, or unlawful activity, to the maximum extent permitted by law.
16. Termination and Suspension
16.1 Termination by You
You may stop using the Software Products at any time. If you are on a subscription, you must cancel to stop renewals.
16.2 Termination by Us
We may suspend or terminate access if you breach these Terms, attempt fraud, abuse systems, or violate license restrictions.
16.3 Effect of Termination
Upon termination, your license ends and you must stop using the Software Products. Sections that survive termination, including risk disclaimer, liability limits, and intellectual property, will continue to apply.
17. Privacy
Your use of the website and services is also governed by our Privacy Policy, which explains how we collect and use personal information.
18. Third-Party Services and Links
We may link to third-party services such as payment providers, brokers, hosting providers, or social platforms. We are not responsible for their policies or services.
